Dan Horwood

Dan Horwood is a seasoned corporate and securities attorney with more than 20 years of experience, underpinned by a six-year tenure at the U.S. Securities and Exchange Commission. As an Attorney-Advisor and Special Counsel in the Division of Corporation Finance, he reviewed and commented on a wide range of public company filings under the Securities Act of 1933 and the Securities Exchange Act of 1934. Dan advised on complex transactions including IPOs, mergers, proxy contests, and tender offers, and contributed to the development of Securities Offering Reform.

With a clear command of the ’33 and ’34 Acts, he has served as General Counsel and senior legal advisor at multiple public companies, enhancing legal infrastructure and guiding clients through complex capital markets activity, litigation, and M&A.

Earlier in his career, he practiced at Wilson Sonsini Goodrich & Rosati and Mayer Brown LLP, advising on IPOs, complex capital raises, and public company compliance. His practice has consistently centered on helping companies navigate the evolving landscape of federal securities laws, corporate governance, and disclosure obligations.

Dan earned his J.D. from the University of Pennsylvania and holds a B.A. in Government with distinction from Connecticut College.
